Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of GHI Solutions’ website, applications, and any related services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms in full. If you disagree with any provision, you must cease using the Services immediately. We reserve the right to modify these Terms at any time by posting updates; continued use after changes signifies acceptance.
Eligibility and Account Creation

Shipping and Delivery
For orders of physical goods, we will ship to the address you specify at checkout. Risk of loss and title transfer to you upon delivery to the carrier. Delivery times are estimates and not guaranteed; delays may occur due to factors outside our control. You are responsible for any customs duties, taxes, or import fees on international shipments.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.
Indemnification
You agree to indemnify, defend, and hold us and our affiliates harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your violation of any law, or your infringement of third-party rights. We reserve the right to assume exclusive defense and control of any claim subject to indemnification, and you agree to cooperate fully in our defense.
Governing Law and Dispute Resolution
These Terms and any dispute arising from them are governed by the laws of the jurisdiction where GHI Solutions is incorporated, without regard to conflict‐of‐law principles. Any legal action or proceeding arising out of or relating to these Terms must be brought exclusively in the courts of that jurisdiction. You consent to the personal jurisdiction and venue of those courts. Prior to initiating formal proceedings, the parties agree to attempt to resolve disputes informally in good faith.
